Clients:

 

1. Definitions and Interpretation
   In this Agreement, unless the context otherwise requires, the following expressions have the following meanings:
   ‘Agreement’ means these standard terms of business.
   ‘Assignment’ means the period during which Translion Limited or a Third Party supplier contracted by Translion Limited performs services or carries out work for or on behalf of the Client or as otherwise agreed between the Client and Translion Limited.
   ‘Client’ means the person, firm, organisation, statutory or corporate body, together with any subsidiary or associated company, for whom Translion Limited has agreed to provide the Services pursuant to these terms and conditions of business.
   

2. Copyright in Source Material, and Translation Rights
   Translion Limited accepts a Translation Task from the Client on the understanding that performance of the Translation Task will not infringe any Third Party rights. The Client warrants to Translion Limited full right and authority to enter into this Agreement and that the Source Material does not infringe the copyright or any other right of any person.
   

3. Fees: (binding) Quotations and (non-binding) Estimates
   Fees are determined by Translion Limited based on the Client’s description of the Source Material, the purpose of the Translation, and any instructions given by the Client. VAT, where applicable, is charged in addition to the quoted fee.
   

4. Delivery
   Delivery dates agreed between Translion Limited and the Client become binding only after Translion Limited has seen all of the Source Material and received complete instructions from the Client.
   

5. Payment
   Payment in full to Translion Limited shall be made in advance of the date of invoice unless otherwise agreed. For long Assignments, Translion Limited may request an initial payment and periodic partial payments.
   

6. Copyright in Translations
   Copyright in the Translation remains the property of Translion Limited unless a specific written agreement to the contrary is made.
   

7.Confidentiality and Safe-keeping of the Client’s Documents
   Translion Limited exercises discretion in respect of disclosing any information contained in the Client’s Source Material without    express authorization.
   

8. Cancellation and Frustration
   If a Translation Task is commissioned and subsequently cancelled, reduced in scope, or frustrated by an act or omission on the part of the Client or any Third Party, the Client shall pay

 Translion Limited the full fee unless otherwise agreed.
   

9. Complaints and Disputes
   Failure by Translion Limited to meet agreed order requirements entitles the Client to reduce the fee or cancel any further instalments of work. Any complaint must be notified within one month of the delivery date.
   

10. Responsibility and Liability
    Translion Limited carries out the Translation Task using reasonable skill and care in accordance with the provisions of the Code of Professional Conduct of the Institute of Translation and Interpreting.
    

11. Unfair Competition
    Translion Limited shall not solicit work directly from a Third Party introduced by an intermediary without the intermediary's written consent for a period of 6 months from the return of the last Translation Task.
    

12. Applicability and Integrity
    This Agreement takes effect upon the Client's acceptance, commencement of delivery of Source Material, or provision of services by Translion Limited, whichever occurs first.
